Base Capital's core group consists of seven principal owners and five key management personnel, all of whom reside in the greater Puget Sound area. The firm's owners are generally retired from prior successful business careers. Base Capital's principals and cornerstone investors include a successful real estate entrepreneur, the owner of a large recreational vehicle business, one of the original nine Microsoft employees and developer of MS-DOS, the former Publisher and General Manager of Microsoft Press, two successful owners of national food processing giants, and the former owner of a CPA firm.

H. THOMAS WICK, Retired CPA, Managing Member
Tom is the managing principal at Base Capital and responsible for directing its strategies and affairs. Tom has over 30 years of experience in the practice of public accounting and financial consulting. He has worked for, or been a partner in, an international/national CPA firm, a regional firm, and owned his own local CPA firm for 14 years. In the early 1990's he sold his practice to the international accounting and management consulting firm of Grant Thornton, where he acted as Director of Private Business before leaving to form Base Capital. Tom's practice specialty included the areas of real estate, food processing, general business consulting and taxation. Tom sits on the Board of Directors of nearly every subsidiary of Base Capital, along with several other Northwest based companies. His financial, management and marketing expertise cannot be understated. Tom is a life-long resident of the Seattle area and a graduate of the University of Washington.
JAMES F. BROWN
Jim is the former General Manager and Publisher of Microsoft Press, recently retiring as a Microsoft executive following 16 years of dedicated service. He currently manages a broad and successful business portfolio and is a key investor and advisor to Base Capital.
STANLEY J. CAREY
Stan is currently a member of Coastal Foods, LLC. Previously, he was a principal of Sea Coast Foods, Inc., which developed the “Chef's Choice” product line, which was sold to Aurora Foods, Inc., a nationwide manufacturer and distributor. Stan has been active in the seafood and food processing business for over 30 years. As a principal investor, his insight has proved tremendously valuable for Base Capital.
JOSEPH A. GALANDO
Joe is a principal and current CEO of Coastal Foods, LLC. Joe previously headed Sea Coast Foods Inc., a major food processing business that sold their distinguished "Chef's Choice" product line to national producer and distributor Aurora Foods, Inc. Joe has over 30 years of experience in the seafood and food processing business, and continues to successfully manage a diverse and lucrative business portfolio. As a principal investor and advisor for Base Capital, his experience and extensive knowledge have been invaluable resources to clients and partners.
ROBERT W. O'REAR
Bob was one of the initial nine Microsoft employees. He was the lead developer of the MS-DOS operating system and was instrumental in establishing the original Microsoft relationship with IBM in the early 1980's. Bob has also worked with NASA, and was a key author of the code written to navigate the Apollo missions to the moon. As a principal of Base Capital, Bob serves as a key investor to the company. He also manages a diverse and profitable asset portfolio, including Poulsbo RV.
KENNETH T. WAKAZURU
Ken is the co-owner of Poulsbo RV. He is also a private real estate and business investor. As a principal, Ken advises and invests in business ventures and real estate projects for Base Capital. Ken was instrumental in the original formation of Base Capital, and his business knowledge and sales expertise are invaluable resources to our company.
DUNCAN A. WALLACE
Duncan was the principal owner of Wallace and Wheeler Real Estate for over 30 years. During his tenure, Wallace and Wheeler was the largest residential real estate firm in the Puget Sound area, employing over 300 agents. Duncan has been an active real estate developer for over 35 years and co-founded Cam West Construction. Duncan actively participates in Base Capital's strategic planning and operations as a real estate specialist, financing advisor and investor. He owns numerous apartment complexes in the Seattle Metropolitan area and is well respected throughout Puget Sound's business community.

GINA MINIFIE, Office Manager
Gina has over 2 decades of experience working in the financial and accounting industry. For nearly 20 years, she has been a loyal and dedicated executive assistant for Tom Wick, the managing member of Base Capital. Prior to working for Base Capital she was the Office Manager for a regional CPA firm.
ROGER TANABE, CPA, Controller, CFO
Roger is responsible for managing Base Capital's day to day financial and accounting services. Roger has over 20 years of experience in the field of public accounting, including working for an international CPA firm and as a partner in a local CPA firm. In addition to the work he does for Base Capital, he currently has an active CPA practice in Bellevue. Roger has a Bachelor of Arts degree in Business from the University of Washington and a Bachelor of Science degree in Accounting from Central Washington University. He is a member of the Washington Society of Certified Public Accountants and the American Institute of Certified Public Accountants.
SCOTT SETTLE, Outside Counsel
Scott has become Base Capital's primary outside counsel after being an employee from 2000 to 2002. Scott is based in Hawaii, and has been principally involved with hundreds of real estate projects, including master planned communities, commercial office, retail, hotel, timeshare and mixed-use developments, multi and single family sub-divisions and a wide range of affordable housing projects. Scott acted as general counsel for a multi-state development firm and practiced real estate development, business and finance law for over fifteen years. He is a member of both the California and Hawaii State Bar Associations and is licensed to practice in federal and state courts in both jurisdictions. Scott also recently sat for the Washington State Bar. He is former chairman of the Business Law Section of the Hawaii Bar. He received his law degree from the University of San Diego School of Law, and holds a Bachelor's degree in Political Economics from the University of California at Berkeley.
KIM FAUST, Project Manager
Kim's project management duties include entitlements, owner's representative for construction and development projects, due diligence, development strategies, legal and title related issues, and investor relations. Kim is also responsible for processing of acquisition and development, construction and permanent loans. She is a 2001 graduate of Santa Clara University with a Business degree in Marketing. Kim was a member of Santa Clara University's women's basketball team from 1997-2001.
KEVIN NAGAI, JD, CPA-Inactive, Project Manager
Kevin is responsible for asset management and development matters, including, acquisitions, entitlements, financing, construction, sales, leasing and due diligence. Kevin is also involved in many of the company's corporate business and subsidiary monitoring. Kevin has over 10 years of experience in tax and financial consulting, working for firms such as Deloitte & Touche LLP, Bank of America, and a number of start-up companies. Kevin is a double graduate of the University of Washington, receiving his law degree in 1994 and Business Administration- Accounting Concentration degree in 1990. He is a member of the Washington State Bar Association and the Washington Society of CPAs. Kevin has been a member on the Board of Directors of Nikkei Concerns since 1999.
MATT SORENSON, Investor Relations
Matt is in charge of investor communications for Base Capital and its portfolio companies. Matt also monitors the private placement securities offered to accredited investors by the portfolio companies. He also assists with project and property management duties, creation and maintenance of the investor database, and other duties involving investor relations. He is a 2003 graduate of the University of Puget Sound with a degree in Communications and Communication Research. Matt was a member of the University of Puget Sound baseball team from 2000-2003.
DAVID KOGAN, General Superintendent
David's role as General Superintendent with Base Capital is to oversee current projects as well as estimate future projects. Dave will be the on-site representative of the construction projects and work with architects, designers, engineers, building officials, contractors, subcontractors and suppliers.
